Your landlord signed your blend-and-extend. If its lender didn't, the rent cut can unwind.

A blend-and-extend that takes 150,000 SF from $1.45 to $1.05/SF/mo saves $720,000 in its first year. If the building's loan fails and the lender never consented in writing, the lender or its buyer can hold you to the old rent through your original expiry. The term that lets it sits in an SNDA you signed years ago, not in the amendment you are signing now.

On a 150,000 SF building in Ontario, a blend-and-extend that resets rent from $1.45 to $1.05/SF/mo NNN saves you $720,000 in the first year. If your landlord's lender never consented to that amendment in writing, and the loan fails before your original October 2029 expiry, the lender or whoever buys from it can treat the rent cut as never made. That puts back $0.40/SF/mo, $4.80/SF/yr, and $2,247,552 through 2029: $14.98/SF, or 14.3 months of your new rent.

The consent requirement is not in your lease or in the amendment. It sits in the subordination, non-disturbance and attornment agreement (SNDA) you signed at the original lease or at a later refinance, and lender forms commonly say a successor owner is not bound by any amendment made without the lender's written consent. Nothing in a standard amendment form asks who holds the loan.

California starts from a hard rule. Foreclosure of a senior deed of trust terminates a junior lease (Principal Mut. Life Ins. Co. v. Vars, Pave, McCord & Freedman (1998) 65 Cal.App.4th 1469; Dover Mobile Estates v. Fiber Form Products (1990) 220 Cal.App.3d 1494). A lease subordinated to the loan survives foreclosure only through the SNDA's non-disturbance and attornment terms. In the AIR single-tenant net lease the subordination sits at ¶30, Subordination; Attornment; Non-Disturbance. The term that strips your amendment does not come from the AIR form. It comes from the lender's SNDA.

A KeyBank SNDA filed with the SEC says the lender is not “bound by any amendment, modification, or waiver of any of the provisions of the Lease” unless it was “taken with the prior written consent of Lender,” and separately commits the tenant: “Tenant shall enter into no material amendment or modification of the Lease without Lender's prior written consent.” A Regions Bank form says the same of amendments made without the lender's written consent. Smith Gambrell & Russell calls forgetting the SNDA exists a common mistake, and notes that a rent concession granted for an extension may not bind a successor after foreclosure.

The landlord's loan documents point the same way. Typical covenants bar the borrower from entering into a “renewal, extension or modification” of a Major Lease without lender approval. Holland & Knight's June 2026 review puts “changes that reduce rent” squarely inside the lender's consent right, and a loan-documents guide in Law Journal Newsletters lists rent reductions among the exceptions to deemed-approval provisions. Lowndes puts the lender's view plainly: “The Lender does not want the Tenant to amend the Lease without its approval while the Lender's loan is outstanding.” A rent cut lowers NOI and debt coverage, so it is the modification a lender is least likely to approve. That gives a landlord under pressure a reason not to ask.

Exposure/yr = (contract rent − amended rent) × SF × 12, each year to the original expiry
Year one: ($1.45 − $1.05) × 150,000 × 12 = $720,000

The odds are low and the loss is large. Industrial CMBS loans were 1.14% delinquent in September against 8.02% for all CMBS, per Trepp, and 2.35% in distress per CRED iQ. We found no named IE industrial loan in special servicing or foreclosure this year. The selection runs against you, though. IE starting rent fell 24.4% from its Q2 2023 peak of $17.64/SF/yr to $13.33 by Q2 2026, per CompStak. Lee & Associates' Q2 2026 IE West report found tenants “remained in a favorable position with greater leasing options and increased flexibility during negotiations.” The landlords who agree to the deepest cuts are the ones under the most pressure, and those are the buildings most likely to change hands through the lender.

The SNDA protects your occupancy. It does not protect your amendment.

The SNDA protects your occupancy. It does not protect your amendment. The successor chooses whether the amendment binds it. You do not. Whether it can keep your five added years while rejecting the rent cut turns on your SNDA's wording, and we found no published California case on it. The same carve-outs reach the rest of a typical blend-and-extend. KeyBank's form does not bind a successor to rent paid “more than one month in advance,” Regions Bank's to “offsets, claims, credits or defenses,” and lender forms Sherin and Lodgen reviewed free the new owner from “completing any construction of improvements.” Abatement months you have not taken and TI allowance not yet funded are the first things to go.

Not every SNDA carries the carve-out. Some exempt non-material amendments or give deemed consent, and some buildings carry no loan at all. A lease with no SNDA is worse off, not better: under the California rule, foreclosure ends it. Check your recorded SNDA.

What to do before you sign the amendment, in order

1. At term sheet, ask the landlord in writing whether the property is encumbered, who the lender is, and whether there is a recorded SNDA or a subordination in your lease. Pull the recorded SNDA from the San Bernardino or Riverside County recorder yourself.

2. In the amendment draft, make lender consent a condition of the amendment. Sample language: “This Amendment shall not be effective unless and until Landlord delivers to Tenant the written consent of each holder of a mortgage or deed of trust encumbering the Premises, in form reasonably acceptable to Tenant, confirming that such holder and any successor owner shall be bound by this Amendment.”

3. If the lender won't consent in time, tie the added years to the rent cut surviving. Sample language: “If any successor to Landlord's interest is not bound by the Base Rent set forth in this Amendment, the extension of the Term granted hereby shall be void at Tenant's election, exercisable by notice within 90 days after Tenant learns of such successor's position.”

4. Take abatement and TI allowance up front where you can. Ask for TI funded into escrow or credited against current rent; unearned free rent and unfunded TI are what the carve-outs strip first.

5. At any new SNDA, ask for the positions Holland & Knight recommends: no lender consent needed for amendments that do not diminish the lender's collateral, a defined period for the lender to respond, and deemed approval if it does not respond in time.

6. When the landlord sells or refinances, deliver an estoppel that recites the amendment and the amended rent. Under the AIR lease that is ¶16, Estoppel Certificates. It binds the new lender or buyer that relied on it, and only that party.

Worked illustration

150,000 SF bulk distribution building, Ontario (IE West)

Assumptions, not survey figures: lease signed in 2022, seven-year term expiring October 31, 2029, 4% annual bumps. Contract rent is $1.45/SF/mo NNN for the lease year starting November 1, 2026. A blend-and-extend effective that date resets rent to $1.05/SF/mo with 4% bumps and adds five years to October 31, 2034. The building's recorded SNDA says a successor is not bound by amendments made without lender consent, the lender did not consent, and the loan fails before October 2029. Substitute your own rent, size and expiry.

The gap grows with the bumps: $720,000 in the year to October 2027, $748,800 to October 2028 and $778,752 to October 2029. Your contract rent sits 40.2% above Lee's IE West average; the amended rent sits 1.5% above it. See the full dashboard.

Signing a blend-and-extend this quarter?

I read industrial leases across San Bernardino and Riverside Counties. Send me the address, your contract rent and the proposed rent, your original expiry, and the subordination clause or recorded SNDA, and I will tell you what a successor owner could unwind and what to ask for before you sign.
